Terms of Service

Last updated: September 29, 2026

1. Agreement and Parties

These Terms of Service (“Terms”) are a legal agreement between you and Ruah Innovations LLC, doing business as Godines.ai (“Godines.ai,” “we,” “our,” or “us”).

These Terms govern your access to and use of Godines, including the Godines software and control plane, related updates, hosting where we provide it, support, integrations, our websites, and any professional services we agree to in writing (collectively, the “Services”).

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind it to these Terms. In that case, “Client” or “you” means that organization.

2. Business Use Only

The Services are offered only to businesses and organizations, not to consumers for personal, family, or household use. You must be at least 18 years old and authorized to act for your business.

3. Description of the Services

Godines is software that lets a business define jobs, assign them to scoped AI workers with named human owners, approve consequential actions before they happen, keep a record of every run, and check outcomes against the systems the work touched. Depending on your agreement, the Services may include:

  • the Godines control plane and AI workers;
  • connections to systems you choose, such as CRM, email, accounting, ERP, and messaging tools;
  • running on infrastructure you control, or hosting we provide on servers in the United States; and
  • updates and support.
  • Godines is software, not consulting or a managed service, unless we expressly agree otherwise in writing. The Services support business operations and decisions; they do not replace human judgment.

    4. Early Access

    Godines is currently offered on an invite-only, early-access basis, including to design partners. During early access, you acknowledge that:

  • features may change;
  • some functionality may be incomplete;
  • results may vary by use case;
  • uptime and performance targets may not yet be formalized; and
  • the Services may contain bugs, errors, or limitations not present in mature software.
  • Early access does not reduce your responsibility to review previews and outputs before approving or relying on them.

    5. Access, Credentials, Permissions, and Approvals

    To enable the Services, you may connect systems and provide credentials, tokens, API keys, datasets, or other technical materials. You agree that:

  • you will provide accurate and authorized access information;
  • you have the legal right to connect the systems and data you connect;
  • you remain responsible for the legality of your use of those systems and data; and
  • you will promptly revoke or notify us of any compromised credentials.
  • Read-only by default; you hold the gate

    Connections start read-only. Reading, drafting, sending, and writing to outside systems are separate permissions that you grant, and the default is deny. Consequential actions require approval by a person you designate. You are responsible for the permissions you grant and the actions you approve, and you may revoke permissions at any time.

    6. Client Responsibilities

    You are responsible for:

  • naming a human owner for each worker and keeping approvers current;
  • reviewing previews before approving consequential actions;
  • verifying important information before making decisions;
  • maintaining your own backups, records, and business continuity processes unless we expressly agree otherwise; and
  • using the Services only in compliance with applicable laws, contracts, and industry rules.
  • You will not use the Services to:

  • violate law or third-party rights;
  • process data you are not authorized to provide;
  • send unlawful, deceptive, or abusive communications; or
  • rely on AI-generated outputs as the sole basis for critical financial, legal, medical, employment, tax, or compliance decisions without appropriate human review.
  • 7. AI Output Disclaimer

    The Services use artificial intelligence. AI can be wrong. Outputs may be incomplete, inaccurate, out of date, biased, or misleading. You agree that:

  • AI-generated outputs are advisory and not guaranteed to be correct;
  • material outputs should be reviewed by a qualified person before action;
  • the Services do not provide legal, medical, tax, or professional financial advice; and
  • a job marked “verified” means the destination system reported the expected result, not that the underlying business decision was correct.
  • For example: review a drafted customer follow-up before approving it, and confirm any job marked “unverified” in the destination system before relying on it.

    8. Availability and Support

    We will use commercially reasonable efforts to provide and support the Services, but we do not guarantee uninterrupted or error-free operation. Planned maintenance, third-party outages, hardware issues, client environment issues, internet disruptions, or AI model provider issues may affect performance.

    9. Fees and Payment

    If fees apply, they will be set out in an order form, proposal, invoice, or other written agreement between the parties. Unless otherwise stated in writing, fees are non-refundable once earned. Late payment may result in suspension of the Services after reasonable notice.

    10. Intellectual Property

    Our property

    We retain all right, title, and interest in the Godines software and platform; our code, prompts, templates, job specifications, methods, documentation, and know-how; improvements and derivative works we create relating to the Services; and our trademarks and branding.

    Your property

    You retain all right, title, and interest in your business data, source records, internal documents, credentials and system accounts, and company-specific outputs to the extent derived from your data. These Terms do not give us ownership of your data.

    License to provide the Services

    You grant us a limited, non-exclusive, revocable right to access, use, host, copy, and process your data solely as necessary to provide, secure, and support the Services for you.

    11. Confidentiality

    Each party may receive non-public information from the other. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel or service providers who need to know it and are bound by appropriate confidentiality obligations. These obligations do not apply to information that is public without breach, already lawfully known, independently developed, or rightfully obtained from another source.

    12. Privacy and Data Handling

    Your use of the Services is also subject to our Privacy Policy. If these Terms conflict with a signed services or data processing agreement, the signed agreement controls to the extent of the conflict.

    13. Third-Party Systems and Providers

    The Services may interact with third-party systems you choose to connect, such as email providers, CRM, accounting, ERP, and messaging platforms, and with AI model providers. We are not responsible for the availability or security of those systems, changes made by their providers, outages or API limits outside our control, or losses caused by inaccurate source data in those systems. Your use of third-party systems remains subject to their own terms.

    14. Suspension

    We may suspend some or all of the Services if reasonably necessary to address a security risk, prevent unlawful activity, protect the integrity of the Services, respond to a legal requirement, or address material nonpayment or breach. Where practical, we will give notice and an opportunity to cure first.

    15. Term and Termination

    These Terms begin when you first accept them or use the Services and continue until terminated. Either party may terminate for convenience on 30 days’ prior written notice, or sooner for material breach not cured within a reasonable written cure period. We may terminate immediately if required by law or if continued service would create a substantial security or legal risk.

    16. Data on Termination

    On termination, your right to use the Services ends and we stop routine access except as needed for offboarding, security, billing, or legal compliance. If Godines runs on infrastructure you control, you keep that infrastructure and the data on it. If we host data for you, we will provide a reasonable opportunity to export it, subject to payment of outstanding amounts and technical feasibility, and may delete remaining hosted data after a reasonable offboarding period unless law requires longer retention.

    17. No Warranty

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE. This disclaimer is especially important during early access.

    18. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW: (1) GODINES.AI AND RUAH INNOVATIONS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS INTERRUPTION, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (2) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO US FOR THE SERVICES DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; AND (3) THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE. Nothing in these Terms limits liability to the extent such limitation is prohibited by law.

    19. Indemnification

    You agree to defend, indemnify, and hold harmless Ruah Innovations LLC, Godines.ai, and their officers, managers, employees, contractors, and affiliates from third-party claims, losses, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your data; your misuse of the Services; actions you approve; your violation of law or these Terms; or your lack of authorization to connect systems, credentials, communication channels, or data.

    20. Changes to the Services or Terms

    We may modify the Services or these Terms from time to time. If we make a material change to these Terms, we will give at least 30 days’ notice by email, website posting, in-product notice, or other reasonable method. Continued use of the Services after the effective date constitutes acceptance of the change.

    21. Governing Law and Dispute Resolution

    These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Texas, and each party consents to personal jurisdiction and venue there.

    22. Miscellaneous

    These Terms, together with any applicable order form or signed agreement, are the entire agreement between the parties regarding the Services. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent, except in a merger or sale of substantially all of your business assets; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Notices under these Terms must be in writing.
